Multi-Buyer Mode, ready for beta testing!

The level of complexity in due diligence processes and transactions is constantly increasing. Lawyers and advisors who assist in such work are therefore, more than ever, dependent on good tools that help to maintain an overview and progress in the transaction.

It is particularly challenging if the seller of the asset, or the company, has several possible stakeholders on the buyer's side, where each stakeholder group has different requirements for the information they want to present, and associated follow-up questions. This will often be the case when raising capital for start-ups and scale-ups, but there are also several examples of similar processes in the sale of capital-intensive assets such as commercial property, and in the ordinary sale of companies (M&A).

To deal with this, the seller side can:

  1. Create multiple identical data rooms
  2. Invite stakeholders in the same data room
  3. Submit documentation and answer questions via email


Each option represents a set of challenges. The common denominator is that none of the current options satisfactorily meet the needs of the seller side. That's why ENVE has developed a unique module we call Multi-Buyer Mode, or MKM - which will solve the problem once and for all!


For the first time, sellers can create a data room, upload the required documentation and then define different buyer groups directly in the data room. The seller can create an unlimited number of buyer groups, and there are no restrictions on how many users each buyer group can consist of. The different groups have access to view and review the available information, but cannot see the other buyer groups or who they consist of.


Representatives from the buyer groups can easily request additional documentation and ask general and file-specific questions in the data room - without other buyer groups having access to this. The seller can thus have 1:1 communication with the various buyer groups and answer various questions directly in the data room. This gives the seller and the seller's advisors a better overview of the various dialogues and also ensures traceability.


The module simplifies the flow of communication between the parties in a transaction - and at the same time gives the seller and the seller's advisors insight into relevant transaction data. Among other things, the seller will have access to statistics relating to which buyer groups are most active in the data room, and an overview of which files are visited the most. This means that the seller does not have to upload identical documentation several times, while retaining a complete overview of the communication flow.
